acquisitions/takeovers can take numerous forms. We have
taken publicly listed companies private, acquired divisional
capital through corporate divestiture transactions,
partnered with family-owned firms and purchasers, structured
reverse takeover and going public (IPO) transactions and
purchased and grown companies through
industry-consolidations.
Jacob Stuart & Knight Inc.
transactions share some fundamental qualities: We can supply
equity dollars for the friendly acquisition of a business
with regular cash flows and quality management. The capital
structure of the acquired business depends on the strategy
for growth creation, which is jointly developed by internal
managers/owners and
Jacob Stuart
& Knight Inc.
We work with our companies to design and implement plans for
improving operations in the areas of manufacturing, sales,
and marketing. Over time, usually many years, we exit our
investments through IPOs, secondary offerings, and sales to
other buyers in our network. When investments are disposed
of, profits are distributed to our investors, which include
corporate and public pension plans, financial institutions,
public and private businesses, insurance companies, merchant
banks and high net worth sophisticated investors.
A benefit of Jacob Stuart & Knight Inc. ownership is that
the boards and managers of our companies are not concern
themselves with the short-term pressures of the capital
financial markets. We take our time and are patient
investors. We do not concentrate on short term results. In a
typical case Jacob Stuart & Knight Inc. holds investments
for several years, and in sometimes we have held them for
more than a decade. However, if Jacob Stuart & Knight Inc. is hired
specifically for a hostile takeover and or reverse merger by
one of our clients we may be looking for a quicker exit such
as an IPO.
Over the long term, effective ownership and management of a
company leads to benefits for all such as shareholders,
employees, customers, suppliers, and the community at large.
The success of a company depends on these same factors.
Jacob Stuart & Knight Inc. encourages its selected companies to invest
in each stakeholder group. Employees can be trained in ways
that prepare them for better, more demanding jobs. And we
encourage our companies to contribute to the communities
where they are located. |
